1. Acceptance of these terms
By visiting tukhor.xyz, sending us an inquiry, or engaging Tukhor Software & Web Solutions ("Tukhor", "we", "us") for any service, you ("you", "the client") agree to these Terms & Conditions. If you do not agree, please do not use our website or services.
If you are acting for a school, company or other organization, you confirm that you are authorized to accept these terms on its behalf.
2. Our services
Tukhor provides software and web services, including:
- School websites and school management software
- Shop and POS software
- Custom software, portals and dashboards
- Websites, web applications and mobile-friendly applications
- Maintenance, support and related technical guidance
Descriptions on our website are for general information. The exact services you receive are defined in your written quotation or agreement.
3. Quotations and project scope
Pricing depends on features, complexity, timeline, hosting, data migration, training and support. A quotation sets out the agreed scope, price and delivery stages.
- Features, modules and packages listed on our website are indicative. Only items written in your quotation or agreement are included.
- Requests outside the agreed scope may need a revised quotation, additional cost or extra time.
- A quotation is valid for the period stated in it. If no period is stated, please confirm with us before relying on it.
4. Payments
- Payment amounts, stages and due dates are set out in your quotation or agreement.
- Work may begin once the agreed initial payment is received, and we may pause work if a payment is overdue.
- Third-party costs such as domains, hosting, SMS, payment gateways and paid licenses are separate unless the quotation says otherwise.
- We will provide a receipt or acknowledgment for payments on request.
5. Your responsibilities
To keep a project on track, you agree to:
- Provide accurate requirements, content, logos, images and data in good time.
- Review work and give feedback within a reasonable period.
- Make sure you have the right to use all content, names, images and data you give us.
- Keep your login details confidential and tell us at once if you suspect unauthorized access.
- Use the delivered system lawfully and not for fraud, harassment, spam or any illegal purpose.
Delays in providing information or feedback may move delivery dates.
6. Timelines and delivery
Any delivery schedule is an estimate based on the agreed scope and on timely input from you. We work to meet it, but dates may change because of scope changes, delayed feedback, third-party services or circumstances beyond our control.
A project is treated as delivered once the agreed work has been made available to you for review or launch. Please report issues with the agreed scope promptly so we can fix them.
7. Intellectual property
- Your content: you keep ownership of the content, logos, data and materials you provide.
- Delivered work: ownership and usage rights for custom work are as stated in your agreement. Unless agreed otherwise, they pass to you after full payment.
- Our tools: we keep our pre-existing code, frameworks, templates, libraries and know-how, and may reuse general techniques that do not include your confidential information.
- Third-party material: open-source and third-party components stay under their own licenses.
- Portfolio: unless you tell us otherwise in writing, we may mention the project and show non-confidential screens in our portfolio.
8. Hosting and third-party services
Projects may rely on hosting providers, domain registrars, CDN or WAF services, payment gateways, SMS or email services and other third parties. These providers have their own terms, prices and availability, and we are not responsible for their outages, changes or policies.
Who buys, owns and renews hosting and domains should be stated in your agreement. Please keep those accounts renewed, since expired services can take a site offline.
9. Support and maintenance
Support and maintenance can be included in your agreement or offered separately. The scope, response time, duration and charges should be agreed before work starts.
- Fixing bugs in delivered, agreed features is part of support as defined in your agreement.
- New features, redesigns and data entry are usually separate work.
- Problems caused by changes made by others, third-party services, or misuse may not be covered.
10. Security
We take reasonable care in building and configuring systems, including access control and sensible security practices. However, no website or software can be guaranteed completely secure or attack-proof, and we cannot promise uninterrupted or error-free operation.
Backups, server updates, firewalls, DDoS protection and monitoring depend on the hosting and services chosen and on what your agreement covers.
11. Data and privacy
We handle personal information as described in our Privacy Policy. For systems that hold student, staff, customer or business records, you are responsible for deciding what data to collect, who may access it, and for having any permissions required by law, including from guardians where needed.
We will treat non-public information you share with us for a project as confidential and use it only to deliver the services.
12. Warranties and limitation of liability
We aim to deliver work that matches the agreed scope with reasonable skill and care. Beyond that, our website and services are provided "as is" and "as available", and we do not make guarantees about business results such as sales, admissions or revenue.
To the fullest extent permitted by law, Tukhor is not liable for indirect or consequential loss, loss of profit, loss of data or business interruption arising from the use of our website or services. Our total liability for any claim is limited to the amount you paid us for the specific service that gave rise to the claim.
Nothing in these terms limits liability that cannot lawfully be limited.
13. Suspension and termination
- Either side may end a project by written notice, as set out in the agreement.
- We may pause or end services if payment is overdue, if these terms are seriously breached, or if the system is used unlawfully.
- On termination, you pay for work completed and costs already incurred up to that date.
14. Refunds
Refunds and cancellations are handled under our Refund Policy and the terms of your quotation or agreement.
15. Governing law and disputes
These terms are governed by the laws of Bangladesh. We encourage you to contact us first so that we can try to resolve any concern informally. If that is not possible, disputes are subject to the courts of competent jurisdiction in Bangladesh.
16. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top shows when they last changed. Using our website or services after an update means you accept the revised terms. Changes do not alter a signed agreement for an existing project unless both sides agree.
